IMPORTANT POLICY NOTICE

In alignment with industry standards for luxury wellness retreats and in compliance with Texas and federal consumer protection laws, Change Purpose Action Coaching LLC has established the following terms, conditions, and refund policies. Please read carefully before completing your registration. By registering for the Retreat or purchasing Gala tickets, you acknowledge and agree to all terms outlined herein.

These terms and conditions ("Terms") apply between you, the individual registering for and/or attending the event ("Attendee," "Guest," "you," or "your"), and Change Purpose Action Coaching LLC ("CPA," "Organizer," "we," "us," or "our"), the owner, organizer, and operator of the DFW Juneteenth Wellness & Empowerment Retreat ("Retreat") and The Freedom & Flourish Gala ("Gala") (collectively, the "Event"). Event production services are provided by TIH Signature Experiences, a division of TIH Industries LLC.

By submitting your registration, making a deposit or payment, or attending the Event, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not register for or attend the Event.

Electronic Signature: Your electronic acceptance of these terms at checkout constitutes a legally binding signature under the Texas Uniform Electronic Transactions Act (Business & Commerce Code Chapter 322).

1. EVENT DETAILS

  • Location: Dallas-Fort Worth Metroplex, Texas (specific venues to be confirmed)
  • Retreat Capacity: 50 limited seats

2. TICKET CATEGORIES & PRICING

2.1 Retreat Packages

  • VIP Full Experience: $9,500 Early-Bird (Deposit: $3,000)
  • Commuter Experience: $3,500 Early-Bird (Deposit: $1,250)

Note: All retreat packages include admission to The Freedom & Flourish Gala on June 20, 2026.

2.2 Individual Gala Tickets (Standalone)

  • Standard Gala Ticket: $250 per person
  • VIP Gala Ticket: $350 per person (premium seating, VIP perks)
  • VIP Elite Gala Ticket: $550 per person (elite experience, exclusive access)

2.3 Corporate Table Packages (8 Seats Per Table)

  • Standard Corporate Table: $2,500 (company branding, reserved seating)
  • VIP Corporate Table: $3,500 (premium table, visibility opportunities)
  • VIP Elite Corporate Table: $5,000 (mini-level sponsorship benefits)

3. NON-REFUNDABLE DEPOSITS (RETREAT)

ALL RETREAT DEPOSITS ARE NON-REFUNDABLE UNDER ANY CIRCUMSTANCES.

Your deposit secures your investment in transformation:

  • Your deposit reserves one of our 50 limited retreat seats
  • Resources are immediately allocated to your reservation upon payment
  • Deposits lock in venue contracts and vendor arrangements
  • This policy aligns with Texas Business & Commerce Code requirements

3.1 Deposit Amounts

  • VIP Full Experience Deposit: $3,000
  • Commuter Experience Deposit: $1,250

3.2 Deposit Transfer Options

We understand that life happens. While deposits are non-refundable, they ARE transferable:

  • You may transfer your deposit to another qualified participant of your choosing
  • Transfers must be requested up to 60 days before the retreat start date (before April 19, 2026)
  • To initiate a transfer, notify us in writing at contact@dfwjuneteenthretreat.com with the new attendee's complete details
  • We will facilitate the transfer once the new participant is approved
  • Limit: One transfer per booking

3.3 Transfer Requirements

  • New attendees must meet all retreat eligibility criteria
  • New attendees must complete registration and accept all retreat terms
  • Original purchaser remains responsible for the balance payment if the transfer occurs after the balance due date
  • No cash value exchange between parties; transfers are administrative only

4. BALANCE PAYMENTS & CANCELLATION TIMELINE (RETREAT)

The remaining balance is due by April 19, 2026 (60 days before the retreat).

4.1 Retreat Cancellation Schedule

  • Cancellation 60+ days before the Event (before April 19, 2026): 75% credit toward future CPA event. Deposit forfeited.
  • Cancellation 30–59 days before the Event (April 19 – May 19, 2026): 50% credit toward future CPA event. Deposit forfeited.
  • Cancellation less than 30 days before the Event (after May 19, 2026): No credits issued. Transfer only (with $100 fee).
  • No-show/Same-day cancellation: Full payment forfeited—no refunds, credits, or transfers.

Credit Terms: All credits are valid toward future Change Purpose Action LLC retreats/events within 12 months.

4.2 Partial Participation

Retreat packages are sold as complete experiences. Guests who arrive late, leave early, or skip programming components are not eligible for partial refunds or credits. All pricing reflects the full retreat experience.

5. GALA TICKET REFUND POLICY

ALL GALA TICKET PURCHASES ARE FINAL AND NON-REFUNDABLE.

Due to the nature of event planning, venue commitments, catering arrangements, and vendor contracts that must be secured in advance, we are unable to offer refunds for ticket purchases under any circumstances, except as outlined in Section 7.1 (Event Cancellation by Organizer).

5.1 Gala Tickets Included with Retreat Packages

All retreat packages include admission to The Freedom & Flourish Gala on June 20, 2026.

  • Gala tickets included in retreat packages are non-refundable and non-transferable separately from the retreat registration
  • If you cancel your retreat registration, you forfeit your gala admission
  • Retreat registrants cannot transfer only their gala ticket it remains part of the complete retreat experience
  • Standalone gala tickets purchased separately follow the standalone gala ticket terms in this section

5.2 Standalone Gala Ticket Transfers

While gala tickets are non-refundable, ticket holders may transfer their ticket(s) to another qualified individual:

  • Transfers are permitted up to 14 days before the Event
  • Written notification must be submitted via email to gala@dfwjuneteenthretreat.com
  • New attendees must provide valid identification at check-in
  • One (1) transfer per ticket is permitted without fee
  • Additional transfers incur a $25 administrative fee per ticket
  • Corporate table transfers require written authorization from the original purchaser
  • Transfer Deadline: All transfer requests must be submitted no later than 14 business days before the Event

6. CORPORATE SPONSORSHIP & GROUP BOOKINGS

6.1 Corporate Table Purchases (Gala)

Companies purchasing corporate tables (8-10 seats) for the gala follow a separate payment and cancellation structure:

Corporate Payment Terms:

  • 20% payment due at signing (non-refundable deposit securing table reservation)
  • 80% balance due 90 days before the event (February 18, 2026)

Corporate Cancellation Terms:

  • Corporate tables cancelled 90+ days before event: 10% administrative fee retained, 90% refunded
  • Corporate tables cancelled less than 90 days before the event: 100% payment forfeited

6.2 Group Retreat Bookings (5+ VIP or Commuter Seats)

  • Companies booking 5+ retreat seats may request customized payment terms
  • Group coordinators remain financially responsible for all reserved seats
  • Individual seat cancellations within group bookings follow the standard cancellation policy
  • Seat substitutions permitted with 30+ days' notice and coordinator approval

7. EVENT CHANGES OR CANCELLATION BY ORGANIZER

7.1 If Change Purpose Action Coaching LLC Must Cancel the Event

In the unlikely event that the Retreat or Gala is cancelled due to circumstances beyond our control (including, but not limited to, natural disasters, pandemics, government orders, venue closure, civil unrest, terrorism, or major transportation disruptions), registered guests will be offered:

For Retreat Registrations:

  • A full refund of payments made, excluding the non-refundable deposit, OR
  • A credit toward the rescheduled retreat or a future Retreat event

For Standalone Gala Tickets:

  • Refund of ticket price minus $25 processing fee (Individual tickets), OR
  • Refund of table price minus $75 processing fee (Corporate tables)

All remedies and credits described above are offered at the sole discretion of Change Purpose Action Coaching LLC.

7.2 If Event Dates Are Changed

If we must change the Event dates due to force majeure or operational necessity, registered guests may:

  • Receive full credit (including deposit) toward the rescheduled retreat, OR
  • Request a full refund if the new dates are not feasible for you

For standalone Gala tickets, no refunds will be issued for rescheduling. Original tickets will be honored for the new date, and transfers are permitted per Section 5.2.

7.3 Venue or Program Changes

Minor venue changes (such as hotel substitutions of equal or superior quality) or program adjustments may occur due to availability or operational needs. Guests will be notified immediately of any material changes. Venue or speaker changes alone do not qualify for refunds, as the event experience, programming quality, and core promises remain intact.

8. FORCE MAJEURE

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including but not limited to:

  • Acts of God, natural disasters, severe weather events, earthquakes, floods, hurricanes
  • Pandemic, epidemic, or public health emergency (including COVID-19 or similar)
  • Government orders, restrictions, travel bans, or mandatory closures
  • War, terrorism, civil unrest, riots, or national emergency
  • Venue unavailability due to circumstances beyond the Organizer's control
  • Utility failures, power outages, transportation disruptions, or infrastructure emergencies
  • Any other circumstances beyond our reasonable control that make it impossible, impractical, or unsafe to hold the Event

In Force Majeure situations, the Organizer will make reasonable efforts to reschedule the Event. Force Majeure events are treated as rescheduling (not cancellation) for standalone Gala tickets and do not entitle ticket holders to refunds. Retreat registrants should refer to Section 7.2 for rescheduling options.

9. SUBSTITUTION & GUEST CHANGES

9.1 Name Changes

Administrative name corrections (spelling errors, legal name changes) are permitted without fee up to 30 days before the event. Requests must be submitted in writing to support@dfwjuneteenthretreat.com.

9.2 Guest Substitution

Complete participant substitutions are considered transfers and must follow the transfer policy outlined in Section 3.2 (Retreat) or Section 5.2 (Gala). The new guest must complete full registration and meet all eligibility requirements.

10. PAYMENT METHODS & PROCESSING

10.1 Accepted Payment Methods

  • Credit cards (Visa, Mastercard, American Express, Discover)
  • Debit cards
  • ACH bank transfers
  • Payment plans (arranged in advance)

10.2 Payment Plan Options

Custom payment plans are available for VIP and Commuter retreat packages. Contact contact@dfwjuneteenthretreat.com for details. All payment plan balances must be paid in full by April 19, 2026.

10.3 Chargeback Policy

Guests who initiate a credit card chargeback after agreeing to this policy will have their registration cancelled without refund. Please contact us directly before disputing any charges, as we are happy to work with you on a resolution.

11. TRAVEL & EVENT INSURANCE (STRONGLY RECOMMENDED)

We STRONGLY RECOMMEND that all attendees purchase travel and event cancellation insurance covering:

  • Event cancellation for covered reasons
  • Medical expenses and emergencies
  • Travel interruptions and delays
  • Trip cancellation due to illness, injury, or other qualifying life events

INSURANCE PURCHASE TIMING: For maximum coverage benefits, purchase insurance within 14 days of your initial deposit. Many policies offer enhanced coverage when purchased during this window.

IMPORTANT: Change Purpose Action Coaching LLC is not an insurance provider. Travel insurance is a separate product purchased through third-party insurers. We are not responsible for determining what events qualify for insurance coverage. Please review policy terms directly with insurance providers.

12. HEALTH, SAFETY, AND ASSUMPTION OF RISK

12.1 Health Advisory

The Event may include physical activities such as yoga, meditation, spa treatments, walking excursions, and other wellness activities. You acknowledge that participation in such activities involves inherent risks. You represent that you are physically and mentally capable of participating and will consult with a healthcare provider if you have any concerns.

12.2 Communicable Disease Warning

AN INHERENT RISK OF EXPOSURE TO COMMUNICABLE DISEASES, INCLUDING BUT NOT LIMITED TO COVID-19 AND OTHER RESPIRATORY ILLNESSES, EXISTS IN ANY PLACE WHERE PEOPLE GATHER. Such diseases can lead to serious illness or death. By attending the Event, you voluntarily assume all risks, hazards, and dangers arising from or relating to exposure to communicable diseases, whether exposure occurs before, during, or after the Event.

12.3 Assumption of Risk

By registering for and attending the Event, you acknowledge and voluntarily assume all risks associated with attendance, including, but not limited to, the risks of illness, injury, or property damage. You agree to hold harmless and release CPA, TIH Signature Experiences, their officers, directors, employees, agents, contractors, and affiliates from any and ALL claims arising from such risks.

13. RULES OF CONDUCT

You agree to:

  • Conduct yourself in a professional, respectful, and courteous manner at all times
  • Comply with all rules, regulations, and policies of Event venues and facilities
  • Follow all reasonable instructions from Event staff, Organizers, and venue personnel
  • Refrain from any conduct that is disruptive, offensive, discriminatory, harassing, or threatening
  • Consume alcohol responsibly; intoxicated individuals may be removed from the Event without refund
  • Not engage in any illegal activities

We reserve the right, in our sole discretion, to refuse entry to or remove from the Event any person who violates these Terms, engages in inappropriate conduct, poses a security risk, or disrupts the Event. No refund will be provided in such cases.

14. PHOTOGRAPHY, RECORDING, AND MEDIA RELEASE

You consent to being photographed, filmed, and/or recorded during the Event by us, our authorized representatives, or media partners. You grant us an irrevocable, royalty-free, worldwide license to use, reproduce, modify, display, distribute, and create derivative works from such recordings for promotional, marketing, educational, and commercial purposes, in any media now known or hereafter developed, without compensation to you.

Unauthorized photography, video recording, audio recording, live streaming, or transmission of any Event content is strictly prohibited without prior written consent from the Organizer. Violation of this policy may result in removal from the Event and legal action.

You waive any right to inspect or approve any recordings or the use thereof, and you release us from any claims related to distortion, alteration, or use of your likeness or voice.

15. INTELLECTUAL PROPERTY

All content, materials, presentations, workshops, and other intellectual property shared at the Event are owned by CPA, the respective presenters, or third-party licensors. You may not reproduce, distribute, modify, or create derivative works from Event content without prior written permission. Attendance at the Event does not grant you any intellectual property rights.

16. PRIVACY AND DATA PROTECTION

By registering for the Event, you consent to the collection, processing, and use of your personal information as necessary to facilitate the Event. Your information may be shared with Event partners, sponsors, and service providers. You may receive communications from us regarding the Event and future offerings. You may opt out of marketing communications at any time.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, CHANGE PURPOSE ACTION LLC'S AND TIH SIGNATURE EXPERIENCES' TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE EVENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE GUEST FOR THEIR REGISTRATION OR TICKET.

We are not liable for:

  • Acts of God, force majeure events, or circumstances beyond our reasonable control
  • Third-party vendor performance (hotels, restaurants, transportation providers, spa facilities)
  • Personal injury or property damage, unless caused by our gross negligence or willful misconduct
  • Consequential, incidental, special, or indirect damages, including lost profits, business opportunities, or emotional distress
  • Guest travel delays, cancellations, or expenses incurred reaching/leaving the event

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

18. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CPA, TIH Signature Experiences, their officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your conduct at the Event; (c) any injury or damage you cause to any person or property; or (d) any claims by third parties arising from your actions or omissions.

19. DISCLAIMER OF WARRANTIES

THE EVENT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE EVENT WILL MEET YOUR EXPECTATIONS OR THAT ANY SPECIFIC RESULTS WILL BE ACHIEVED.

20. GOVERNING LAW AND DISPUTE RESOLUTION

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

20.2 Dispute Resolution

Any disputes arising from these Terms or the Event shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may initiate mediation. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration or litigation in accordance with Texas law.

20.3 Jurisdiction and Venue

Venue for any legal proceedings shall be in Rockwall County, Texas.

20.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

21. AGE REQUIREMENT

The Event is designed for adults. All Attendees must be at least 21 years of age to register and attend. We reserve the right to verify age and refuse entry to anyone under 21. Valid government-issued identification may be required for entry.

22. GENERAL PROVISIONS

  • Entire Agreement: These Terms constitute the entire agreement between you and CPA regarding the Event and supersede all prior agreements.
  • Amendments: We reserve the right to modify these Terms at any time. Material changes will be communicated to registered Attendees via email.
  • Severability: If any provision is found invalid, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce any provision shall not constitute a waiver.
  • Assignment: You may not assign your rights without our consent.
  • Survival: Provisions intended to survive termination shall survive, including Sections 12, 14, 15, 17, 18, 19, and 20.

23. ACKNOWLEDGMENT & AGREEMENT TO TERMS

By registering for the DFW Juneteenth Wellness & Empowerment Retreat or purchasing tickets for The Freedom & Flourish Gala, you acknowledge that:

  • You have read and understand the entire Terms and Conditions
  • You agree to all terms, conditions, and timelines outlined above
  • You understand that deposits are non-refundable under all circumstances
  • You understand that all gala ticket purchases are final and non-refundable
  • You have been advised to consider purchasing travel/event cancellation insurance
  • You understand the cancellation timeline and credit options available
  • You accept the governing law, jurisdiction, and limitation of liability provisions
  • You acknowledge and accept the health and safety risks associated with Event attendance

This policy ensures fairness for all guests while protecting the integrity and financial viability of this luxury wellness experience.
